Does anyone else find corporations fact patterns to be incredibly one sided?

if not, i may be boned.

My professor writes well-balanced fact patterns. There are legitimate questions whether the restriction of shareholder agency was valid or invalid.

No sarcasm on my end! Combining DE courts' extreme deference to the BJR--even with absurd decisions that no rational person should make: Disney--with the steadfast protection of shareholder voting rights, you get a nice mix of colorable arguments.

First exam of 2L year and all I did was write, "Side A will argue X. However, side B will rebut this by arguing Y." Literally just repeated that for 5000 words.

This is exactly my corporations exam except not even close to 5k words and despite what Minnie seems to think i was struggling to come up with those arguments

Our classes were late August to my last final on Dec 9. I have a mini semester (J-term) from Jan 4 to Jan 27. Then I start Spring next week after that goes until May.
