Question regarding July 2015 Q5 - Corporations/Professional Responsibility problem:

The first question ask's about D's remedies against other directors and shareholders, I went into a discussion defenses such as corporation to avoid personal liability, and independent business judgment rule. Yet none of the model answers have that, neither to top scoring essays from bar essays either. So if the call of the question just asks for remedies from one party perspective or the arguments that party could make, do we not look into the counter arguments? I feel for essays that if you list issues the bar graders are not looking for, you will be doc'd points, so even if an issue seems relevant...you should be careful if the facts really warrant them.

Would have done exactly what you did. But looking at the call of the question again in light of your experience, they are not asking for defenses. I guess rather than a detailed discussion, one subheading discussing potential defenses?

I passed in July so I don't know my score on the corp essay but I had a pretty lengthy discussion of defenses as well. Especially BJR.

I passed in July so I don't know my score on the corp essay but I had a pretty lengthy discussion of defenses as well. Especially BJR.
I got a 65 on the corp essay july 2015. I basically talked about duties of the directors, closed corporation - duty not to oppress, liabilities etc. I did also discuss BJR.

Yes, we were able to leave things out in the hallway against the wall in Ontario. Can anyone confirm the same for Oakland?

Can confirm for Oakland. There were a lot of backpacks in that area, including mine. There also seemed to be at least one person watching our stuff. Overall, I didn't feel worried about getting anything stolen.

Can anyone confirm same for San Diego?

How many MBEs have you guys done? I feel like I've spent disproportionate amount of time into essays and I still don't feel 100% on the essays. Maybe I am not supposed to.

I've done 2450 all on adaptibar. But only 1700 of those were original questions, the rest repeats. I think I may have done too much MBE and not enough essay/PT. If MBE was 50% weighted in CA like other states, I would be less stressed

Nope. I have a private tutor. I think Barbri is good to learn the law, but to practice is better to get someone who actually grades each of the essays you do (also the PTs) as well as provides realiable MBE questions.

I feel like I've spent too much time trying to memorize the outlines. Now it feels like my memory is shaky and I haven't practiced enough essays/PTs
