Corporations...Do members not physically present for a meeting count towards a quorum?

The outline says:
A director is not required to be physically present at a meeting. A meeting may be conducted through conference call or any other means that allow each director to hear the other directors during the meeting. RMBCA §8.20(b).
But the sample answer for one of the corporations essays seems to say otherwise. I get that the people participating by call need to be able to hear/speak to everyone else, but the sample answer had not addressed that yet. It just counted the physical members (lol) towards the quorum.

I think I mentioned this upthread, but yes. I've always had migraines with aura, but have had increased issues with that while studying.

It's just too much screen time!

My right eyelid has inexplicably swollen as if I got punched in the eye for the past week. Don't know if it's stress or eye strain. At least I don't have to be around people for a while :lol:

The corner of my right eye twitches ~4 hours a day total. The top left of my left eyebrow vibrates, tingles, and sort of goes numb. Whyyyy
Once someone told me this could be due to low potassium. Obviously it's stress related but maybe some potassium will help.

i eat one nanner every day. and my girlfriend has introduced banana chips into the diet. probably not the healthiest, but whatevs.

The place for my state is literally right across the street from my apartment.

I dunno if I'm going to go though. I tend to be super fine on time (like 20-30 minutes extra on 50 question sets). I'm wondering if its worth it for me, timewise, to waste an hour or so of the day waiting for it to end.

Okay, one more question regarding partnerships.

Outline:
Individual partners need not be named in a suit against the partnership in order to collect a judgment out of partnership assets. However, a judgment against a partnership is not a judgment against its partners. Unless there is also a judgment against the partner, a judgment against a partnership cannot be satisfied from a partner’s assets, only from the partnership’s assets.
Then, from the sample answer for the Partnerships/Agency essay (garden equipment repair):

A partner is jointly and severally liable for all partnership obligations. Though a limited partner in an LLP is not personally liable for an obligation of an LLP, limited liability partnership status is generally only effective on the date that the statement of qualification is filed with the state and not before. Under these facts, the $500,000 judgment was levied against Garden Partnership before the man and the woman took steps to qualify as an LLP. Therefore, the man and the woman will remain jointly and severally liable for the judgment.
What am I missing? I'm reading the outline as "you need a judgment against the partners before you can collect on a judgment from a partner personally. The sample answer seems to say otherwise.

I still haven't gotten back my graded essay from Friday. Has anyone else had this much of a delay for an essay they turned in on time? I'm trying to decide if I should email Themis or just wait it out.

Never had to wait that long. They say 2 business days. So, if you turned it in on friday... Friday to monday is one business day, monday to tuesday is 2 business days, tuesday to wednesday is 3 business days. I'm not saying theyve lost it or messed up.

Also, I email them all the time. Whats the harm?

I wouldn't feel bad about Con Law #5. Everyone here agrees that it was a freakishly hard set of problems. All of this stuff is learnable, and we have a month.

I wouldn't feel bad about Con Law #5. Everyone here agrees that it was a freakishly hard set of problems. All of this stuff is learnable, and we have a month.
I've heard it said that con law is supposed to be the easiest MBE topic next to torts. There's no reason for Themis con law questions should be this hard.

It's difficult to ascertain what the question is asking. But I'll give it a shot--

Ademption—property in a specific bequest sold or destroyed prior to your death & is not available (a house, a car, a watch, etc.). Ademption by satisfaction occurs when grantor gives the gift to b/e prior to death

Abatement--money (usually) left to a beneficiary but some or all is not available at time of testator's death. In such a case, the devise will be reduced first in order to satisfy other devises that have precedence over it. Basically, it's the first to go if there isn't enough cash to administration, funeral expenses and other devises that are superior.

I am choosing not to study any more material & go listen to music...I just can't. My civ pro outline killed me today--although, not too bad, it's just 9 pages. Managed to truncate Jeffries handout from 44 to 9 pages *patting myself on the back*

The only thing that is making me think they possibly are is that the Milestone questions seem to be real MBE questions used in the same MBE, so the difficulty is gauged to be appropriate with the actual test. Whereas I think the PQ sets are drawn individually, and they vary in difficulty.
So you mean score on the milestone questions is an accurate representation of what you will get on the real thing = themis questions arent harder...
I took and passed the Michigan Bar in February. Now I'm studying for Florida and I think I must be out of my mind to take back-to-back Bars, but whatever. But here's what I can tell you about MBE. My overall Themis M/C percentage was in the high 50s (I did about 2200 m/c). My simulated MBE was 69% for each part. On the actual exam day,I went through the MBE day on autopilot. The questions didn't seem overly hard or overly easy. I figured I had to get about a 65% to pass, and if I was just consistent with how I did on my simulated MBE, I would be fine. Got a 144 on the MBE. I can't tell you if Themis's questions were harder or not, but just keep plugging away. At some point this stuff has to sink in. On another note, I totally bullshitted on 4 of the 15 Michigan essays and did just fine. These Florida practice essays are brutal!

Went from a 70% on Milestone #1 to a 56% on Milestone 2. WTF, man. I got OWNED by con law.
