Any Sources for Policy Arguments on Corps? Forum

Hey guys, hope you're all rocking your final exams! My corporations prof includes a policy question in his exams every year, so I was wondering whether anyone had any sources that might help address those kinds of questions. I'd really appreciate anything and everything you guys could come up with! (Even if its a general law review article that lays them out- I've been looking but couldn't find much)

Think up arguments for why shareholder primacy should rule (it's their money) versus why Board/Management primacy should rule (they're the ones actively involved in the company with better information).
