Corporations may not be incredibly difficult, but its so damn boring that it's hard to commit to learning it. I'd imagine securities law is similar.

Depends how you define "hardest." Conceptually difficult probably depends in part on the person and their background. If hardest means hardest to do well in, then it's classes that draw law review people (Fed Courts, Admin, Conflict of Laws, etc.)

I will venture and say fed courts. 1 it's very challenging conceptually, and 2 it's filled with future law clerks, so the curve is pretty brutal.

There are no hard or easy classes in law school, thanks to the curve. There are merely classes with good or bad professors and lots/little of competition.

As far as harder to understand while taking the class, for me it is civil procedure/evidence. As far as grades though, did pretty well in those classes even though I was confused at first. I'm less good at the statuary based stuff/code stuff vs. con law/common law stuff as far as getting concepts. But no bearing on grades whatsoever.
Have yet to take tax and corporations though.

I decided to take corporate tax at nyu. Class filled with tax LLM's who would kill their family pet for an A. Horrible idea. Studied harder for that than anything else and escaped with a B (couldn't be happier!). Lesson learned, no more tax classes...

For me, Contracts, Contract Drafting, or anything related to business. I thought Evidence and Admin were pretty easy.

Partnership Tax was the most conceptually difficult class I've taken in law school and it wasn't even close. God did that ever suck.
