Parol Evidence Rule and Interpretation- DIES

Post by lawschoolproblems86 » Fri Dec 02, 2011 1:04 am

Does anybody know a good source that can explain the frickin' Parol Evidence Rule and the whole Interpretation thing. I've literally wasted the 6 hours trying to make sense of this shit and now I'm just pissed off because I still don't understand it, and I wasted my entire evening. It sucks that I had the shittiest Contracts teacher, and had to teach myself the rest of the class, but this chapter is just not clicking for me. I think because it's so step-by-step oriented, and ugh, I can't do this. I tried to CALI lessons, and re-reading the chapter, and all the case explanations, AND the 2L outline I used to build my outline (skipped the Interpretation chapter until I can actually understand it). I'm pretty much having a meltdown right now. If anybody can steer me in the right direction, I promise you my firstborn child.

Cali lesson sucked, check the E&E + contracts flowchart if you can find it. Found both of them useful.

Yes, in regard to ambiguous meaning. There's the plain meaning approach. But then I also keep running into Objective Theory approach, the Restatement approach and the Reasonable Expectations approach. I'm just not sure how this all connects, or when/if the Parol Evidence rule comes into play.

it talks about PER, plain meaning rule, cali/ny, then the big cases - gianni, masterson, the r2k on it, and the ucc on it.

The E&E is a little too in depth but it has some awesome diagrams that make you think, "Oh, that's easy." Specifically, look at section 12.6 and diagram 12B. Just reading that should make sense of everything.

I missed the first lecture for parol evidence and was pretty clueless and now I have a pretty good grasp of it. Hope this helps.

I spent a long time trying to figure it out, and put together a step-by-step analysis. PM me if you'd like to see it.
