Classes: Corporate Finance or Securities Reg. next semester

Any opinions on these two? I really don't know if one is routinely harder than another.

I've seen two casebooks for Corp fin and they're totally different. One is all math, the other looks like a corporations book.

Is one more essential than the other? Don't really know the conceptual differences in what they teach and would appreciate input from those who have taken them
