I actually paid attention to that case since it had to do with video games. Basically the DIP (Catapult) wanted to assume a contract that would normally be nonassignable under federal law. But they didn't want to assign it. And they argued that since they didn't want to assign it, they should be able to assume it. (Actual test). But the court held that the plain meaning of the statute (365c1) called for a hypothetical test. If hypothetically the non-Dr party would be entitled to block assignment, then the DIP can't assume.
This is contrary to the intent of Congress, but they suck at drafting statutes so that's the law.

Unfortunately I feel so screwed that I can't even calm down enough to focus right now. I've legitimately never felt to unprepared for something I've put so much time into. Time to cut my losses, try to get some sleep, and wake up tomorrow to take my terrible grade.

I don't think I'm gonna be able to get more than 3-4 hours of sleep during this here final. Why is this taking me so long??? I have to have it done by noon tomorrow.

Just about finished with my outlining and review for corporations exam on weds. So I popped open the practice exams and skimmed the questions and model answers. Don't understand the questions for shit, and the answers make no sense to me. This is going to be fun.

I made a big realization this semester, and that is I shouldn't be taking classes just because they sound important. I have no interest in these corporate classes. I will never be a tax lawyer, and I will never be a corporate lawyer. I felt no passion or enthusiasm for either subject and it was just painful to read and study for. On the other hand, I loved my employment law class because it is much more in line with the kind of law I want to practice. My schedule for next semester is much more in line with things that will be of interest to me. Hopefully it will make a difference.

Biz Orgs tomorrow, actually put a lot of time in because of the gunners in the class. There is a whole row known as law review Inc. which has been foaming at the mouth for this exam since September.

I am trying to take as few of the "core courses" that I'm "supposed to be taking" as possible.

I am up at 5 right now after like 2 hours to sleep to try to finish this fucking take home before noon. Usually I'm super awake early in the morning, but, not at all right now. I've never hated an exam so much in my life.

One exam to go. Been studying for it for 5 days now. Outline done. Trying to do practice questions (no exams available and its multiple choice so other exams don't really help). Instead, I spent all morning watching seinfeld and arrested development. Fuck. How the hell are supposed to learn the tax code well enough so that you don't have to look up all the exceptions to each provision on exam day?
Oh yeah, I don't have a job and want to clerk so I have to do well. Double Fuck.

I wonder if you can essentially not do 1/4 of an exam and still avoid being bottom 10-15% of the class (i.e. avoid getting a B- or below). We will find out soon enough. Hopefully the 3/4 I answered was good enough so pull me out of that realm of failure.
Things aren't looking all that much better for corporations. Only the bottom 10% or so get B- or below, maybe 15% at worst. I don't think I'll be quite that low. But I guess I could just take a B and move on yet again. If I come out of this semester with A-, B, B, or B+, B, B, I don't think it would mean no-offer is around the corner. Next semester will be better (I hope...)

Taking my first con law class this winter. Given the fact there are like 5 different con laws here, what are good supplements to read for a class with this description:
"This course analyzes the structure of American government, as defined through the text of the Constitution and its interpretation. The major subjects covered are the allocation of powers among the legislative, executive, and judicial branches; the function of judicial review; and the role of the states and the federal government in the federal structure."
