So, lost volume sellers do not appear in the UCC, however, the sections on seller's remedies have some apparently crucial things to say about it. For one, what do they say? Second, what the hell does this mean?:
"2-708(2) says that the proceeds of resale” must be subtracted from lost profits. How does the ct. deal with this problem in this case? The court says that you limit that provision to “proceeds of completed goods as scrap.” Since Diasonics didn’t earn proceeds from reselling any scrap, nothing needs to be deducted from its lost profits."

So like, if A contracts with B to make a motorcycle for $5000, then breaches half way through, and B can sell the scrap metal its used to make the motorcycle for $1000, then A's liability is decreased by $1000. Say B expected a $2000 profit, B is entitled to $1000

Haha, I'm convinced I failed my 2hr con law exam. I only got in 3800 words, but the person sitting next to me rocked six hundred words, so I supposed I won't be bottom of the class. You can slack a little bit knowing that at least half the class will slack more. The top 25% will work their asses off, per usual. The bottom 25% will play WoW. I think it has to do with whether the seller manages to sell the contracted good after breach. If he did, there is no lost expectancy so no damages in event of resale. Not totally sure on this. I was actually under the impression that it was the other way around, that if the seller has the capacity to sell both items at once and would have made a profit selling the item regardless then they can recover. If the seller is selling finalized products, the only thing he can recover is for lost volume if there is a breach in the sale contract, subject to resale of the product.
If the seller gets an order and starts making it, then the buyer breaches, seller can only recover for lost expectancy minus the value of the scrap.
I think there's something else in the first situation that I'm missing.
In any case under no situation can the seller sue and recover something more than what he would have made absent a breach

I just sent my criminal law prof a long-winded e-mail imbued with statistical inferences and mathematical overtones that describes the inherent unfairness of giving us a multiple choice exam that he uses year after year, especially when he admitted that there are some things we haven't covered yet. He seems to think that the solution to this problem is the curve, because we all know that no law student will read about stuff beyond the scope of the course, right? I mean, when the professor admits that there will be questions beyond the scope of the course, but the curve will sort them out since only around 20% will guess correctly, no one will see that as a chance to get "one up" on their classmates.
He fails to realize that law students are rabid, vile creatures who will stop at NOTHING to get a slight advantage.
Ugh, my only hope at having a chance is a promise to Joshua Dressler himself of beer & blowjobs for life if he teaches me crim law, oh, I don't know, on Sunday, perhaps.
