One Week To Learn Corporations- HEALP!

O Dear TLS Friends,
If you could so kindly help me I'd be quite grateful. As you can see I'm really under the gun, and it just hit me how much material there is for corps. Before you make fun of this poor soul (and kick me while I'm down), I have gone to class almost every day and tried to pay attention, but there's so much detail, and so much material, I'm just not sure where (or how) to start- I'm going thru my notes now, but its hard to distinguish what is super important, from what doesn't really matter...
To make matters worse, my prof always includes a policy essay, so I can't just memorize all the black letter law...
ANY help you could provide would be incredibly appreciative. I wish you all the very best in all your endeavors, and hope you are in a much better situation than I!

Duty of care/loyalty
Derivative Procedure (Zapata)
I'd prioritize those two things because they're the most "analysis-intensive" and likely to appear on your exam.

Corp is basically agency, fiduciary duties, and how to run partnerships and corporations (how to form, how to make decisions, how to kick someone out, how to end/merge). Study accordingly and expect median.

That is a lot of material and detail to learn in one week. I would suggest reviewing the corporations material from a bar prep course study material outline.
For the policy question, you could bank on the fact your professor might ask a question on the piercing the veil doctrine and limited liability. While risky to just bank on this singular topic, if you so choose, here is an excellent resource from a policy standpoint.

Although this article, titled "Piercing All Veils," discusses limited liability corporations and limited liability partnerships, it actually gives a great background on the policy side of piercing the corporate veil and the concept of limited liability.
On page 534 (page 3 of the pdf) it begins discussing the origins of limited liability, the conceptual justification of limited liability, the economic arguments for limited liability, limited liability enhancing shareholder value, and the piercing doctrine.
I think reading this article will give you great fodder for a policy question regarding limited liability or piercing. Even if the call of the question is not related to limited liability, if you memorize the discussion points of this article and just throw down a bunch of knowledge on limited liability in the essay, you are sure to still collect a decent amount of points.
It is better to answer not answer the call of the question at all, then to answer the call of the question incorrectly.

Thanks for all the help guys I really appreciate it!
So I should do nothing but read the 251 pages of the Acing Corps book? I feel like that's really risky, but at the same time I don't really know what else to do
-I have an outline, but I have no clue if the info is right, and I also don't grasp how much of it works (Do i need to know everything about proxy contests?)

come on. you're a 2L/3L AND you went to class. take the syllabus, match it with your outline. parse the confusing stuff with the supplement. stop overthinking it.

In the very same position. Midway through the Acing book because I also have no idea if the outline I have is accurate. Also - mine is open book. Chances I can snag a C by just bringing in this Acing book and outline and regurgitating? I just don't see how it all fits together and am having trouble envisioning what an exam question looks like

You have a week - that's tons of time. You know what to do.
Look at your syllabus. Divide into ten topic areas (agency, forming a corp, piercing the corp veil, etc.). Take 5 of your 7 days. Each of those 5 days, learn two big topic areas:
1. Read through the outline you have and your notes for that topic area a couple of times.
2. If you don't understand, read through the supplement you bought for that specific section.
3. Then, make flashcards and memorize stuff.
4. Then, do some practice multiple choice questions and/or essays for that topic area depending on how your exam is structured.
That should take about 5-6 hours. Take a break, grab some food, then do it for the next topic area.
At night, before you go to bed, run through all the flashcards you've made so far to review stuff.
With your remaining two days, do something like this:
1. Reread outline.
2. Run through flashcards.
3. Reread notes.
4. Do lots of practice multiple choice questions and/or essays.
5. Review stuff you missed on the practice questions.
Doing all this should put you at median, or maybe even better. You'll be fine.

Can you get an outline you're more certain about? Ask around.

Issue spotters are usually like a complex merger with defensive actions and some BJR/EF shit happening beforehand.
Just follow the analysis. They aren't hard.
I CALI'd Corps and was a TA this semester. If someone gives me a site where I can upload a pdf, I would throw my outline up there if it would help you guys out.
