Corps (securities) hypo

In 2009, a company violates the reporting requirements of the FCPA. The company made $10b, which triggered the CEO's $40m bonus. In 2012, the corruption comes to light and the company is fined $1b.
Can the shareholders launch a derivative suit to get the bonus back under Sarbanes Oxley and/or Dodd Frank?
