I am considering taking Conflicts of Law, however, I'm not planning on going into litigation. How useful with this class be for someone targeting transactional work (not settled yet, but likely one of M&A, Securities, Finance)?

I'd say it's a useful class for transactional work in that transactional attorneys should know how to help clients avoid being drawn into costly and time-consuming disputes over jurisdiction, choice of a forum, and choice of law issues.

I agree. It's a reasonably easy class from which you'll be able to distill a handful of doctrinal principles that could be handy in transactional practice. But like every other law school class, it's only the principles that are relevant to transactional lawyers. The really important stuff--i.e., which states' laws are best for different kinds of contracts--you'll have to learn on the job.

It's a useful class, but what classes would not take if you chose to take it?

Many classes are useful, but you cannot take them all.
