2L, I just wish I could get some kind of comment on this?? I know I can't change anything, just curious how far off I really was and any chance I'll get any points at all.

I just someone to make me feel better knowing where I stand. (good or bad)

The fact you know what you did wrong probably means you understood the exam better than most. Chill.

I was going to weep for you if you were a 1L taking Professions- my roommate is a 3L, and she is taking her Profession final tomorrow

And no, I haven't taken Legal Profession yet.

Actually knowing if it was wrong, or if I could possibly get some points will calm me either way. I am just freaking out wondering about result I guess, not the result itself

No one is going to be able to give you a good answer. None of us know your professor, the way he/she grades, or how they will interpret what you did. Put it behind you and quit tripping out about it. Focus on your other exams. Or go get drunk (or however else you blow off steam) if you're done.

I mean not knowing about the answer (right or wrong) is freaking me out, the result grade wise doesn't at this point.

TITCR. OP: forget about it; your stressing is going to cause you to miss out on other opportunities and bring you down in other areas of your life. If you're really that concerned about the "correct" answer, go talk to your prof.

I would be careful about revealing the question to an exam, as at many schools this is considered to be an honor code violation.

Yeah... This primarily appears to be a conflicts question with some minor confidentiality and privilege issues.

You correctly suggest that the corporation is your client. But then you should go straight into Rule 1.7 and do that whole analysis, paying particular attention to comment 23: "The potential for conflict of interest in representing multiple defendants in a criminal case is so grave that ordinarily a lawyer should decline to represent more than one codefendant." For example, what if one employee can get a plea deal to sell out the others and/or the corporation? The potential for such a situation is so great and foreseable that you probably cannot represent everyone (i.e., not consentable). Note that the Rule 1.7 "conflict" exists before any plea deal is made. It exists by nature of the representaiton itself.

As the corporation's lawyer, you never represented the employees. So I don't think you owed the employees a duty of confidentiality. I don't think Upjohn says you have an AC relationship with each employee, as you suggest. It merely holds that the corporation's AC privilege includes interactions between the corporation's lawyers and the employees.

And if you do end up representing all five clients despite Rule 1.7, cmt. 23, (assuming this is a consentable conflict, which it probably isn't) you must get informed consent about the AC privilege and Rule 1.6 confidentiality issues. See Rule 1.7 cmt. 30 & 31. ("With regard to the attorney-client privilege, the prevailing rule is that, as between commonly represented clients, the privilege does not attach. . . . As to the duty of confidentiality, continued common representation will almost certainly be inadequate if one client asks the lawyer not to disclose to the other client information relevant to the common representation. This is so because the lawyer has an equal duty of loyalty to each client, and each client has the right to be informed of anything bearing on the representation that might affect that client's interests and the right to expect that the lawyer will use that information to that client's benefit.") Additional instruction about clarifying the AC relationship for constituents of the corporation (who are not your clients) can be found in Rule 1.13, cmt. 10.

I went over my torts exam with my professor. He mentioned a laundry lis of things wrong with my exam. At the end he's like "but I gave you an A right?"

So chill. Everyone misses a ton of issues in a well-written exam. It's NBD.
