my chances at a berkeley transfer

So...
I go to a top 20 school. I did great my first semester - a 3.81 GPA (median is 3.3, top 10% is 3.66). Second semester, not so much. Still waiting for my final grades, but I am guessing a 3.4-3.5. Total GPA will probabaly be 3.6 - so prob top 10-15%.
I have good letters (including one from the dean, who is very well known throughout CA, and whose class I got the highest grade in), a decent/strong resume, and a solid PS. I went to berkeley as an undergrad, and love the place. I have some compelling personal reasons for wanting to transfer as well.
I'm thinking that I probabaly won't get in, espicially with the second semester drop off (I got a 2.9 in one class:( ), but I am really hoping I do. What are my chances?
