Basic Securities/Capital Markets Question

Would a convertible note offering that can be converted into shares of the company for bridge financing be considered a securities/capital markets transaction?

Yep; I do securities and have done similar transactions.

Yes, but several firms would also view this as a corporate derivatives transactions (in those firms -- Latham, DPW, Skadden at least come to mind -- their derivatives practices work hand-in-hand with their capital markets/securities practices, sometimes under the same practice group umbrella).
