I started as a PE M&A / Cap Markets associate in New York, and then lateraled to an office where I took on some ECVC work, mostly for very early stage companies just beginning fundraising. My two cents: (i) negotiating NVCA documents isn't at all intuitive and there's a steep learning curve to understanding their mechanics if you're accustomed to negotiating M&A docs only, (ii) be prepared to write off large amounts of time, (iii) getting things done can be difficult with clients who are often super overwhelmed and not particularly sophisticated. I much prefer M&A to ECVC work, though I'm not in the Bay Area and opinions may differ.
