Character and Fitness - Administrative Dissolution of an LLC

Post by 1snowflake » Mon Aug 28, 2017 4:20 pm

Almost ten years ago I formed an LLC. It never got off the ground.

It was administratively dissolved but I did subsequently dissolve it properly with a tax clearance and all.

Will this "administrative action" go against me on the C&F.

I know: disclose, disclose, disclose which I intend to do. Plus, I did correct the mistake.

Should I be concerned or am I over-thinking / over-worrying? I tend to do that.

And you're doing it again. Of the two C&F's I've done, there wouldn't even be a part to disclose this on.

Thank you for responding. I am sure you are right.

What got me thinking about it is a question to disclose any administrative action taken against you. So, I am not sure if this even falls under such a question or not.

Yes. Overthinking. Again.

Nothing to worry about here.

Breathe.

Definitely disclose it, can supplement showing the issue was resolved, can explain why it wasnt done sooner or prior to action. Unlikely to have to do anything beyond that.

If that's the worst thing you have to worry about, you're home-free. It's not like you got into a brawl with your teenage son in front of Pizza Hut and got a DO. Now, THAT takes some explaining.

Disclose, repent, atone > take your lumps > get admitted

You'll be fine.

Chill. Felons can get admitted to the Bar, and C&F really cares about money crimes and things that you don't disclose/lie about. Just disclose and you'll be fine.
